These terms govern your use of OurCharter (“the Service”), operated by Think Tank LLC, doing business as OurCharter. By creating an account or organization you agree to them.
The service
OurCharter provides tools for member organizations: directories, meetings, elections, documents, communications, payments, and public websites. The Service is currently offered as a beta: features may change, and we will communicate material changes to organization administrators.
Your account and your organization
- You are responsible for the accuracy of the information you provide and for actions taken under your account.
- Organization administrators control their organization’s data, membership, and settings; disputes within an organization are governed by that organization’s own bylaws, not by us.
- You may not use the Service for unlawful purposes, to harass others, or to attempt to breach its security.
Content and data
- Your organization’s data belongs to your organization. We use it only to operate the Service.
- Administrators may export or delete organization data; deleting an organization permanently purges its records.
- You are responsible for the content your organization publishes through the Service, including text, images, and files you upload, paste, or point the Service at by URL (including through the AI assistant). You confirm you have the rights or permission to use it, and you agree to remove anything you don’t. We may remove content that we reasonably believe infringes someone else’s rights.
Communications sent through the Service
- When your organization sends announcements by email or text message (or, when available, voice call), your organization is the sender of that content. You warrant that recipients are members of your organization who have subscribed to receive it, and that the content is lawful and not deceptive.
- Text messages are sent only to numbers whose owner has consented through the Service — by verifying the number themselves or by replying YES to the one confirmation text we send when an officer adds it. Entering a member’s number is not consent. Text messages are sent between 9am and 8pm in your organization’s local time, carry the organization’s name, and honor STOP immediately. Where your organization uses its own text-message number, you are responsible for the accuracy of the business information you provide to register it. Members’ text-message terms are at /sms-terms.
- OurCharter acts as your organization’s service provider and compliance agent: we deliver only to subscribed members, we add the legally required sender identification, postal address, and unsubscribe or opt-out mechanism to every message, and we honor every unsubscribe and STOP immediately. You authorize us to suppress recipients, delay, or refuse any message — including holding text messages until permitted hours — to maintain compliance and deliverability.
- Member contact information may not be exported or used to send messages outside the Service. If your organization contacts members outside the Service (for example, by emailing addresses from the directory yourself), your organization — not OurCharter — is solely responsible and liable for that communication and its compliance with anti-spam and telemarketing laws (including CAN-SPAM and the TCPA).
- Your organization agrees to indemnify and hold harmless OurCharter and its parent company from claims arising out of the content your organization sends or its misuse of communications features.
- We may warn, suspend, or terminate an organization’s sending privileges — immediately in the case of spam complaints or abuse.
Payments
Payment features are processed by Stripe under the connected organization’s own Stripe account. The organization — not OurCharter — is the merchant of record for dues, donations, and merchandise it collects.
Availability and liability
We work to keep the Service reliable but provide it “as is” during beta, without warranties. To the maximum extent permitted by law, our liability is limited to the amount you have paid us for the Service in the preceding twelve months.
Changes and contact
